1. Acceptance of Terms
By installing, accessing, or using any application ("App") developed and published by Numeric Oasis Ltda. ("Numeric Oasis", "we", "us", or "our") through the Atlassian Marketplace, you ("Customer", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization.
If you do not agree to these Terms, do not install or use the App.
2. Definitions
App: Any software application developed by Numeric Oasis and distributed through the Atlassian Marketplace.
Atlassian Platform: The Atlassian Cloud products (Jira, Confluence, etc.) on which the App operates.
Customer Data: Any data processed by the App on behalf of the Customer within the Atlassian Platform.
Subscription: The paid license granting the Customer access to the App for a defined period.
Authorized Users: Individuals within the Customer's organization permitted to use the App under the active Subscription.
3. License Grant
Subject to these Terms and payment of applicable fees, Numeric Oasis grants you a non-exclusive, non-transferable, revocable license to install and use the App solely within your Atlassian Platform instance, for your internal business purposes, and in accordance with the documentation provided.
This license is limited to the number of Authorized Users or tier covered by your active Subscription.
4. Restrictions
You shall not:
Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the App;
Sublicense, sell, resell, lease, or otherwise transfer rights to the App to any third party;
Use the App to develop a competing product or service;
Remove, alter, or obscure any proprietary notices or labels on the App;
Use the App in any manner that violates applicable laws, regulations, or the Atlassian Marketplace Partner Agreement;
Attempt to gain unauthorized access to any systems or networks related to the App.
5. Atlassian Marketplace and Third-Party Platform
The App is distributed through the Atlassian Marketplace and operates on the Atlassian Platform. Your use of the Atlassian Platform is governed by your separate agreement with Atlassian. Numeric Oasis is not responsible for the availability, functionality, or security of the Atlassian Platform itself.
Billing, invoicing, and payment processing for Subscriptions are handled by Atlassian through the Marketplace. Numeric Oasis does not directly collect payment information from Customers.
6. Subscription, Payment, and Renewal
6.1 Subscription Terms. Access to the App requires an active paid Subscription purchased through the Atlassian Marketplace. Subscription terms, pricing, and tiers are as listed on the App's Marketplace page at the time of purchase.
6.2 Free Evaluation. Where available, a free evaluation period may be offered. At the end of the evaluation period, continued use requires a paid Subscription.
6.3 Renewal. Subscriptions renew automatically in accordance with the Atlassian Marketplace billing cycle unless cancelled before the renewal date.
6.4 Refunds. Refund requests are handled in accordance with the Atlassian Marketplace Refund Policy. Numeric Oasis does not process refunds directly.
6.5 Price Changes. Numeric Oasis reserves the right to modify pricing. Price changes will take effect at the next renewal cycle. Active Subscriptions will not be affected mid-term.
7. Data Processing and Privacy
7.1 Data Residency. Apps that qualify as "Runs on Atlassian" process and store all Customer Data exclusively within Atlassian's infrastructure. No Customer Data is transmitted to or stored on external servers controlled by Numeric Oasis.
7.2 Data Access. The App accesses only the data necessary to provide its stated functionality, as described in the App's documentation and Marketplace listing. The specific permissions (scopes) required are disclosed on the App's Marketplace page.
7.3 Data Retention. Customer Data processed by the App is stored within the Atlassian Platform using Forge storage. Upon uninstallation of the App, all stored data is automatically deleted.
7.4 Compliance. Numeric Oasis is committed to compliance with applicable data protection laws, including but not limited to:
Lei Geral de Proteção de Dados (LGPD) — Brazil;
General Data Protection Regulation (GDPR) — European Union;
Applicable provisions of the California Consumer Privacy Act (CCPA) — United States.
7.5 Data Subject Rights. Customers who wish to exercise data subject rights (access, rectification, deletion, portability) may do so through the App's administrative interface where available, or by contacting us at contact@numericoasis.com.
7.6 Sub-processors. The App relies exclusively on Atlassian Forge as its hosting and storage infrastructure. Numeric Oasis does not engage additional sub-processors for the handling of Customer Data.
8. Intellectual Property
The App, including all source code, design, documentation, and associated materials, is and remains the exclusive property of Numeric Oasis. These Terms do not grant you any ownership rights in the App. All rights not expressly granted herein are reserved.
Feedback, suggestions, or enhancement requests submitted by Customers may be used by Numeric Oasis without obligation or compensation.
9. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.
Numeric Oasis does not warrant that the App will be error-free, that defects will be corrected within any specific timeframe, or that the App will meet all of your requirements. The App's functionality is dependent on the Atlassian Platform and its APIs, which are outside of Numeric Oasis's control.
10. Limitation of Liability
10.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NUMERIC OASIS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE APP.
10.2 NUMERIC OASIS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER FOR THE APP DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10.3 These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Numeric Oasis has been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify, defend, and hold harmless Numeric Oasis and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
Your use of the App in violation of these Terms;
Your violation of any applicable law or regulation;
Any third-party claim resulting from your use of the App.
12. Term and Termination
12.1 Term. These Terms are effective from the date you first install or use the App and remain in effect for the duration of your Subscription.
12.2 Termination by Customer. You may terminate these Terms at any time by uninstalling the App from your Atlassian instance and cancelling your Subscription through the Atlassian Marketplace.
12.3 Termination by Numeric Oasis. Numeric Oasis may suspend or terminate your access to the App immediately, without prior notice, if you breach any provision of these Terms or if continued provision of the App becomes commercially impracticable.
12.4 Effect of Termination. Upon termination, your license to use the App ceases immediately. All stored data associated with the App will be deleted in accordance with Section 7.3. Sections 4, 8, 9, 10, 11, and 13 shall survive termination.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to its conflict of laws provisions.
Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of the city where Numeric Oasis Ltda. is registered, Brazil, unless otherwise required by mandatory consumer protection law applicable to the Customer's jurisdiction.
14. Modifications to These Terms
Numeric Oasis reserves the right to update or modify these Terms at any time. Material changes will be communicated through the App's Marketplace listing or via direct notice. Continued use of the App following the publication of revised Terms constitutes acceptance of such changes.
The "Last Updated" date at the top of this document indicates the most recent revision.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with any applicable Service Level Agreement and the Atlassian Marketplace Terms, constitute the entire agreement between you and Numeric Oasis regarding the use of the App, and supersede all prior agreements, understandings, and communications, whether written or oral.
